Baxendale and partner Hempsons deliver two exclusive merger webinars focused on charities and not-for-profits.

February saw Baxendale deliver two very well received webinars on merger and acquisition strategy for non-profits with our legal partners Hempsons.

The programme has been designed for not-for-profit board members, charity trustees, and senior executives. The sessions assume no former knowledge, so are suitable for those new to merger or for the more experienced who want a refresher. Two webinars have taken place so far, but details of future webinars will be released soon. All the webinars are recorded, although we would encourage delegates to attend future webinars live to get maximum value.

Our aim is to provide practical advice to help organisations improve their ability to look at mergers from a strategic perspective, and to understand how mergers works in practice.

Webinar 1: Why consider a merger?

The first webinar explored mergers as a tool to support the delivery of strategic objectives and considered some of the constraints and challenges that not-for-profits often face. We also outlined an open and transparent approach to exploring and resolving key issues with your potential merger partners. You can watch it back here.

Webinar 2: What does a merger process look like?

This webinar focussed on the process from the point at which a decision in principle has been made to merge with another not-for-profit. We provided practical tips to make the process more manageable, focusing on structuring the merger, due diligence, good stakeholder management, board approvals, filing and regulatory aspects as well as post-merger integration. Presenters

The webinars were delivered by Ian Hempseed, Head of Charities and Social Enterprise at Hempsons, and Jim Brooks, Head of M&A here at Baxendale. Jim is a Chartered Management Accountant, who holds an MBA and has more than 20-years of experience advising on corporate and not-for profit mergers. Ian has been offering legal advice and expertise to non-profits considering mergers for over twenty years.
